1. Acceptance of Terms
By accessing or using Pathway, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the app or website. These terms constitute a legally binding agreement between you and Jabal Studios L.L.C. ("Pathway," "we," "us," or "our").
2. Description of Service
Pathway is an accountability application where users create personal tasks with optional real financial stakes, submit verified proof of completion through various methods (photo, GPS, Apple Health, friend verification, or self-verification), and forfeit their stake to a charity of their choice if they fail to complete the task by their deadline.
3. Eligibility
You must be at least 18 years of age to use Pathway. By using the service, you represent and warrant that you are at least 18 years old and legally capable of entering into binding agreements.
4. Account Responsibilities
You are responsible for maintaining the security and confidentiality of your account credentials. Each person may maintain only one account. You agree to provide accurate and complete information when creating your account and to keep it up to date. You are responsible for all activity that occurs under your account.
5. Financial Stakes & Payments
Users voluntarily set stake amounts on tasks they create. Payment methods are securely stored via Stripe. If a task is failed — meaning the deadline passes without valid proof of completion — the stake is automatically charged to the user's payment method.
Of each forfeited stake, 80% is donated to the user's chosen charity via Every.org and 20% is retained by Pathway as a platform fee. All charges are final and non-refundable once a task is marked as failed.
Users may create tasks without financial stakes. Pathway is not responsible for failed charges due to insufficient funds, expired payment methods, or other issues with the user's payment method.
6. Task Verification
Users select a verification method at the time of task creation, including photo proof, GPS location, Apple Health data, app blocking, self-verification, or friend verification. All proof must be submitted before the task deadline.
Photo proof may be reviewed by Pathway administrators. Friend verification relies on a third party's response — if the friend does not respond within 24 hours, the task is automatically marked as failed. GPS and Health verification rely on device data, and users are responsible for ensuring the necessary permissions are granted.
Pathway reserves the right to reject proof that does not meet the criteria of the task as described by the user.
7. Friend Verification
By entering a friend's phone number for verification, you represent that you have their consent to receive an SMS from Pathway. The friend will receive a single SMS containing a verification link. Pathway is not responsible for the friend's decision to approve or reject the task, nor for any failure to respond.
8. App Blocking
Pathway uses Apple's Screen Time and FamilyControls API to block selected apps when a user enables this feature. Users voluntarily opt into app blocking. Pathway is not liable for any disruption, inconvenience, or consequences caused by app blocking functionality.
9. Charitable Donations
Charitable donations from forfeited stakes are processed through Every.org. Pathway does not guarantee the tax-deductible status of any donation — users should consult their tax advisor. Users choose their preferred charity from the available options within the app.
10. Intellectual Property
All content, design, code, trademarks, and other intellectual property associated with Pathway are owned by Jabal Studios L.L.C. You may not reproduce, distribute, or create derivative works from any part of the service without our prior written consent.
11. Prohibited Uses
You agree not to use Pathway for any abusive, fraudulent, or illegal activity. This includes but is not limited to manipulating verification systems, harassing other users or verifiers, submitting false proof, creating tasks for illegal purposes, or any other misuse of the platform.
12. Limitation of Liability
Pathway is provided "as is" and "as available" without warranties of any kind, either express or implied. To the fullest extent permitted by law, Jabal Studios L.L.C. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service. Our total liability to you for any claims arising from or related to the service is limited to the total amount you have paid to Pathway in the 12 months preceding the claim.
13. Indemnification
You agree to indemnify, defend, and hold harmless Jabal Studios L.L.C., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with your use of the service, your violation of these terms, or your violation of any rights of another party.
14. Termination
We may suspend or terminate your account at any time for violations of these terms or for any other reason at our sole discretion. You may delete your account at any time by contacting us at founders@pathwayapp.com. Upon termination, any pending tasks with active stakes will be resolved according to these terms.
15. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law provisions.
16. Dispute Resolution
Any disputes arising from or relating to these terms or the service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, rather than in court, except that either party may bring claims in small claims court if eligible. You agree to waive any right to a jury trial or to participate in a class action.
17. Changes to Terms
We may update these Terms of Service from time to time. We will notify you of significant changes through the app or by email. Your continued use of Pathway after any changes constitutes acceptance of the updated terms.
